Tempus to Acquire Personalis for $1.5 Billion, Deepening MRD Push
Personalis also disclosed preliminary Q2 results of revenue of $22.4 million and 10,384 clinical tests delivered.
Tempus AI has entered a definitive agreement to acquire Personalis, offering $16.25 per share in a deal valuing the molecular residual disease (MRD) testing company at approximately $1.5 billion.
The all-stock deal, announced July 20, builds on a partnership the companies established in November 2023, when Tempus invested in Personalis and began commercializing its NeXT Personal MRD test. Personalis’s test detects circulating tumor DNA to track treatment response and cancer recurrence and currently carries Medicare coverage in three indications.
“MRD is a large and rapidly growing market with the potential to truly transform how cancer patients are monitored, helping clinicians make faster and more informed decisions when cancer recurs,” Tempus CEO Eric Lefkofsky said in a statement. “Through our existing collaboration with Personalis, we have already demonstrated the strength of combining highly sensitive MRD technology with our commercial infrastructure.”
Personalis also disclosed preliminary second-quarter financial results alongside the announcement: revenue of $22.4 million and 10,384 clinical tests delivered, compared to revenue of $17.2 million and 3,478 clinical tests in Q2 2025.

Tempus holds the option to pay up to 50 percent of the deal consideration in cash. Closing is expected in late 2026 or early 2027, pending Personalis shareholder approval, regulatory clearance, and other customary conditions; both companies’ boards have approved the deal.
